1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "you") and KNB LIMITED ("Company", "we", "our", "us"), a company registered in Hong Kong with its principal place of business at Unit 2904-05, 29/F, Universal Trade Centre, 3 Arbuthnot Road, Central, Hong Kong (SIC: 751200).

By accessing our website knblimited.com, contacting us, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our website or services.

2. Services

KNB LIMITED provides multimedia and graphic design services including, but not limited to:

  • Brand identity design (logos, style guides, brand collateral)
  • UI/UX design (web, mobile, and application interfaces)
  • Motion graphics and video animation
  • Print and publication design
  • Social media design and content templates
  • Brand strategy and consulting

The specific scope of services for each engagement will be agreed in writing (via email, proposal, or service agreement) before work commences.

3. Engagement and Orders

An engagement is confirmed when: (a) you submit an order via our website or in writing, (b) we provide written acceptance or confirmation, and (c) any required deposit or first payment is received. We reserve the right to decline any project at our discretion without obligation to provide a reason.

4. Fees and Payment

  • Subscription Plans: Billed monthly in advance. Fees are as published on our website and are subject to change with 30 days' written notice.
  • Custom Projects: A deposit (typically 50%) is required before work commences. The balance is due upon delivery of final files or as otherwise agreed in writing.
  • Invoices: Payment is due within 14 days of invoice date unless otherwise agreed in writing.
  • Late Payment: We reserve the right to charge interest on overdue amounts at 2% per month and to suspend services until outstanding balances are settled.
  • Currency: All prices are quoted in EUR (€) unless otherwise specified. Currency conversion is at the prevailing rate at time of payment.
  • Taxes: Prices are exclusive of applicable taxes unless stated otherwise. You are responsible for any applicable local taxes in your jurisdiction.

5. Intellectual Property Rights

  • Upon Full Payment: On receipt of full payment for a completed project, KNB LIMITED assigns to the Client all intellectual property rights in the final, approved deliverables (the "Final Works"), except as noted below.
  • KNB Retained Rights: KNB LIMITED retains the right to display the Final Works in our portfolio, case studies, and marketing materials, unless the Client requests confidentiality in writing.
  • Pre-Payment: Until full payment is received, all deliverables remain the sole intellectual property of KNB LIMITED and may not be used by the Client.
  • Third-Party Assets: Where third-party stock assets, fonts, or tools are incorporated, their licensing terms apply separately and the Client is responsible for obtaining appropriate licences for commercial use where required.
  • Rejected Concepts: Design concepts not selected or approved by the Client remain the property of KNB LIMITED.

6. Client Responsibilities

You agree to:

  • Provide accurate, timely information, content, and feedback required to complete the project.
  • Ensure you have the right to use any content, images, or materials you provide to us.
  • Not request work that infringes third-party intellectual property rights or violates any law.
  • Designate a single authorised point of contact for approvals and decisions.
  • Provide feedback within the timelines agreed. Delays caused by the Client may result in revised project timelines or additional fees.

7. Revisions

The number of revision rounds included in each plan or project is specified at engagement. Revision rounds must be used within the scope of the original brief. Requests that materially alter the brief may be treated as new work and quoted separately. Unused revision rounds do not carry over to subsequent billing periods.

8. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the engagement that is designated as confidential or would reasonably be understood to be confidential. This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

  • KNB LIMITED's total liability to the Client shall not exceed the total fees paid by the Client for the specific service giving rise to the claim in the three (3) months preceding the claim.
  • KNB LIMITED shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of profits, loss of business, or loss of data.
  • KNB LIMITED does not guarantee specific business outcomes, sales results, or marketing performance from creative deliverables.

10. Termination

Either party may terminate a project or subscription engagement with 30 days' written notice. Upon termination:

  • All outstanding amounts become immediately due and payable.
  • KNB LIMITED will deliver all completed work to the Client.
  • Incomplete work will be invoiced on a pro-rated basis for work completed.
  • The Client may not use any incomplete or undelivered materials.

11. Warranties and Representations

KNB LIMITED warrants that: (a) we have the right and authority to provide the services; (b) the Final Works, to the best of our knowledge, do not infringe any third-party intellectual property rights; and (c) services will be performed with reasonable skill and care. We make no other warranties, express or implied, including any warranty of fitness for a particular purpose or merchantability.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be notified via email to active clients or by posting on our website. Continued use of our services after the effective date of changes constitutes acceptance of the revised Terms.
